Are you a Swap Dealer?
On April 18, the Commodity Futures Trading Commission and the Securities and Exchange Commission approved the long-awaited joint rulemaking on entity definitions. This rule establishes definitions for "swap dealer" and "major swap participant" and any firms that fall into those definitions will be subject to a myriad of other rules and requirements under the Dodd-Frank Act. This session will review the rulemaking and discuss how to determine whether or not and when companies will need to register as a SD or an MSP. It will also provide an overview of the rules swap dealers will be subject to including recordkeeping and reporting requirements, documentation, business conduct standards, taping and position limits.

This panel will provide a preview of the expected registration process for swap dealers and major swap participants (swap entities). Topics to be covered include: firm and principal registration filing requirements; the requirement to designate a chief compliance officer; provisional registration of swap entities; the relationship of ongoing substantive compliance requirements (Section 4s requirements) to swap entity registration; and the due diligence obligation for swap entities concerning persons associated with swap entities.
